These Terms of Service ("Terms") govern your access to and use of the arkline.ai website, the Arkline gateway and dashboard, and any related applications, command-line tools, or APIs (the "Services"), provided by Arkline AI Ltd. ("Arkline", "we", "our").

By accessing the Services or entering into a subscription with us, you agree to be bound by these Terms. If you do not agree, do not use the Services.

We may modify these Terms at any time. Continued use of the Services after changes are posted constitutes acceptance of the updated Terms.

1. Description of Services

Arkline provides a software platform that gives teams a single, unified interface to multiple large language models. The platform routes requests between local and third-party models, anonymises content before it is sent to external providers, logs queries to your account's database, reuses prior answers, and generates onboarding material from your code, queries, and answers.

Specific plan limits, fees, and terms are set out in the order form, subscription plan, or engagement letter you agree with us, which takes precedence over these Terms where there is any conflict. Materials on arkline.ai are informational and do not, on their own, constitute a binding offer of services.

2. Accounts & Acceptable Use

You are responsible for your account, your users, the content you submit through the gateway, and for configuring anonymisation and routing rules appropriately for your data. You agree not to:

Use the Services for unlawful purposes or to violate the usage policies of any connected model provider
Attempt unauthorised access to any system, or disrupt or circumvent the Services' limits or safeguards
Submit content you do not have the right to process, or that infringes the rights of others
Scrape, copy, or redistribute the Services or website content without written permission
Misrepresent your affiliation with Arkline

3. Third-Party Models

The Services route requests to third-party model providers (e.g., Anthropic, Google, OpenAI). Your use of those models through Arkline is also subject to the respective provider's terms. We do not control, and are not responsible for, the availability, output, pricing, or policies of third-party models. Model outputs may be inaccurate, incomplete, or unsuitable for your purpose.

4. Confidentiality & Data

Each party agrees to keep confidential any non-public information received from the other, and to use it only for the purpose for which it was disclosed. Our handling of personal data and Customer Content is described in our Privacy Policy. Standard exceptions apply for information that is publicly known, independently developed, or required to be disclosed by law or a regulator.

5. Intellectual Property

Arkline retains ownership of the Services and of the methods, frameworks, code, and tooling that power them. As between you and Arkline, you retain ownership of your Customer Content and of the materials you submit.

Content on arkline.ai (including text, illustrations, and design) is owned by Arkline and may not be copied or redistributed without prior written permission.

6. Disclaimer of Warranties

The Services and any model outputs are provided "as is" and "as available" without warranties of any kind, express or implied, including:

Merchantability or fitness for a particular purpose
Accuracy, completeness, or reliability of any model output
That anonymisation will remove every sensitive element from every input, or that the Services will be uninterrupted or error-free

Decisions made in reliance on any output of the Services remain the sole responsibility of the user.

7. Limitation of Liability

To the maximum extent permitted by law, Arkline shall not be liable for:

Indirect, incidental, consequential, or punitive damages
Loss of profits, business, data, or goodwill
Damages arising from reliance on the Services or on any model output

Our total aggregate liability under or in connection with the Services is limited to the fees paid by you to Arkline in the twelve (12) months preceding the event giving rise to the claim. Nothing in these Terms excludes any liability that cannot be excluded as a matter of law.

8. Indemnification

You agree to indemnify Arkline and its affiliates from any third-party claims arising from your misuse of the Services, your Customer Content, or your violation of these Terms or applicable third-party rights.

9. Termination

You may stop using the Services at any time; we may suspend or terminate access for breach of these Terms or applicable provider policies. Sections covering intellectual property, confidentiality, disclaimers, limitation of liability, and indemnification survive termination.

10. Governing Law

These Terms are governed by the laws of England and Wales, without regard to conflict of law principles. Disputes shall be resolved in the courts of England and Wales. We may seek injunctive relief in any court of competent jurisdiction for actual or threatened intellectual-property violations.
